1) Introduction

Welcome to nTakwa. By accessing or using our website, mobile apps, or related services (“Services”), you agree to these Terms. If you do not agree, do not use the Services.

  • nTakwa is an AI software company offering an AI-powered social-commerce platform where posts, reactions, and conversations can lead to tools, teams, and earnings.
  • Additional terms may apply to specific features (e.g., payouts). If there is a conflict, the specific terms prevail.

2) Eligibility

  • You must be at least 13 years old (or the minimum age in your country). If you are under 18, you must have permission from a parent or legal guardian.
  • Businesses must have the legal capacity to enter contracts.
  • To receive payouts, you must successfully complete identity checks (KYC) with our payment partners.

3) Accounts & Security

  • You are responsible for your account and for safeguarding your login credentials.
  • Provide accurate information and keep it updated.
  • We may suspend or terminate accounts that violate these Terms or applicable law.

4) Content & Intellectual Property

  • You own your content. By posting, you grant nTakwa a worldwide, non-exclusive, royalty-free license to host, store, transmit, adapt, display, and distribute your content as needed to operate and improve the Services.
  • Do not upload or share content that infringes others’ rights (copyright, trademark, privacy, publicity).

5) Acceptable Use

You agree not to:

  • Harass, bully, dox, or incite violence; post hate speech or exploitative/illegal content (including involving minors).
  • Upload malware, attempt to gain unauthorized access, or disrupt the Services.
  • Run scams, spam, or deceptive schemes; impersonate others or misrepresent affiliation.
  • Use the Services for unlawful purposes or in violation of the Community Guidelines.

6) Monetization, Coins & Payouts

  • Emoji gifts convert to in-app coins that hold a GBP-denominated value for payouts.
  • Coins are a feature of the platform and not a deposit, e-money, or cryptocurrency.
  • Fees and minimum payout thresholds will be shown in-app before withdrawal and may change from time to time.
  • Payouts are processed via third-party providers (e.g., Stripe Connect, Wise). You must comply with their terms and complete KYC.
  • You are responsible for any taxes due on your earnings.
  • We may freeze or reverse transactions if fraud, abuse, or policy violations are suspected.

7) AI Features

  • nTakwa uses AI to organize content, generate suggestions, and enhance user experiences.
  • AI outputs may be imperfect. Do not rely on them as professional advice.
  • You are responsible for how you use AI outputs and for complying with applicable laws.

8) Third-Party Services

We integrate third-party services (payments, hosting, analytics, content delivery). Your use of those services may be subject to their own terms and privacy policies.

9) Termination

  • You may delete your account at any time.
  • We may suspend or terminate access if you breach these Terms, our Guidelines, or law; or if needed for security, legal compliance, or platform integrity.
  • Some provisions survive termination (e.g., licenses granted, disclaimers, limitation of liability).

10) Disclaimers

  • The Services are provided “as is” and “as available” without warranties of any kind.
  • We do not warrant that the Services will be uninterrupted, secure, or error-free.

11) Limitation of Liability

  • To the maximum extent permitted by law, nTakwa is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits or data.
  • Our total liability for any claim is limited to the amounts you paid to nTakwa in the 12 months preceding the claim.

12) Indemnity

You agree to indemnify and hold harmless nTakwa from claims arising out of your content, your use of the Services, or your violation of these Terms or law.

13) Governing Law & Jurisdiction

These Terms are governed by the laws of Scotland. You agree to the exclusive jurisdiction of the courts of Scotland, seated in Edinburgh, for disputes arising out of or relating to these Terms.

14) Changes to Terms

We may update these Terms. We will provide notice of material changes (e.g., in-app notice or email). The updated Terms take effect when posted unless stated otherwise.
